   Any software available for download via the Site is the copyrighted work of STANSOFT and/or its licensors. Use of such software is governed by the terms of the end user license agreement that is accompanied with every invoice. Where an invoice has not been made and accepted by the user, use of such software is governed by the terms of the end user license agreement that is available at the time of installation of the software. Downloading, installing, and/or using any such software indicates your acceptance of the terms of the end user license agreement.
8. Advertisements Stansoft does not endorse - in anyway - any advertiser / contents of advertisers on its webpages. Please check the veracity of all information on your own before undertaking reliance and actioning thereupon. Stansoft shall not be responsible nor liable for any consequential damages arising on account of your relying on the contents of the advertisement.
9. User Conduct
   You agree to use the Site only for lawful purposes. You agree not to take any action that might compromise the security of the Site, render the Site inaccessible to others or otherwise cause damage to the Site or the Content. You agree not to add to, subtract from, or otherwise modify the Content, or to attempt to access any Content that is not intended for you. You agree not to use the Site in any manner that might interfere with the rights of third parties.
10. User Supplied Information
    STANSOFT does not want to receive confidential or proprietary information from you via the Site.     STANSOFT or any of its employees do not accept or consider unsolicited ideas, including ideas for new product features, new products, advertising campaigns, marketing strategies, new or improved products, technologies, services, processes, materials, or new product names. We have found this policy necessary in order to avoid misunderstandings should STANSOFT's business activities bear coincidental similarities with one or more of the thousands of unsolicited ideas offered to us. Please do not send your unsolicited ideas to STANSOFT or anyone at STANSOFT.     If you register to become a stansoftware.com member, you are responsible for maintaining the confidentiality of your member identification and password information, and for restricting access to your computer.     BECAUSE SOME COUNTRIES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH STATES, STANSOFT'S LIABILITY IS LIMITED AND WARRANTIES ARE EXCLUDED TO THE GREATEST EXTENT PERMITTED BY LAW, BUT SHALL, IN NO EVENT, EXCEED ONE INDIAN RUPEE.
17. General Provisions
    1. Entire Agreement/No Waiver. These Terms of Use constitute the entire agreement of the parties with respect to the subject matter hereof. No waiver by STANSOFT of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.
    2. Correction of Errors and Inaccuracies. The Content may contain typographical errors or other errors or inaccuracies and may not be complete or current. STANSOFT therefore reserves the right to correct any errors, inaccuracies or omissions and to change or update the Content at any time without prior notice. STANSOFT does not, however, guarantee that any errors, inaccuracies or omissions will be corrected.
    3. Financial and other Advice. Stansoft sites/services should not be relied upon for personal, legal or financial decisions and you should consult an appropriate professional for specific advice tailored to your situation.
    4. Enforcement/ Choice of Law/ Choice of Forum. This agreement is governed by the laws of republic of india. You hereby irrevocably consent to the exclusive jurisdiction and venue of courts in Kolkata, West Bengal, India in all disputes arising out of or relating to the use of the Stansoft sites/services. Use of the Stansoft sites/services is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph.
    5. You agree to indemnify and hold Stansoft, its subsidiaries, affiliates, officers and employees, harmless from any claim, demand, or damage, including reasonable attorneys' fees, asserted by any third party due to or arising out of your use of or conduct on the Stansoft sites/services. Stansoft reserves the right to disclose any personal information about you or your use of the Stansoft sites/services, including its contents, without your prior permission if Stansoft has a good faith belief that such action is necessary to:
       1. conform to legal requirements or comply with legal process;
       2. protect and defend the rights or property of Stansoft or its affiliated companies;
       3. enforce the terms or use; or
       4. act to protect the interests of its members or others.
    6. Stansoft performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Stansoft's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Stansoft sites/services or information provided to or gathered by Stansoft with respect to such use.
    7. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.
    8. Claims of Copyright Infringement. Pursuant to The Indian Copyright Act of 1957, The Copyright Rules of 1958 and The International Copyright Order, 1999, notifications of claimed copyright infringement should be sent to the email ID given below.
       1. contain your physical or electronic signature;
       2. identify the copyrighted work or other intellectual property alleged to have been infringed;
       3. identify the allegedly infringing material in a sufficiently precise manner to allow STANSOFT to locate that material;
       4. contain adequate information by which STANSOFT can contact you (including postal address, telephone number, and e-mail address);
       5. contain a statement that you have a good faith belief that use of the copyrighted material or other intellectual property is not authorized by the owner, the owner's agent or the law;
       6. contain a statement that the information in the written notice is accurate; and
       7. contain a statement, under penalty of perjury, that you are authorized to act on behalf of the copyright or other intellectual property right owner.
    9. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Stansoft with respect to the Stansoft sites/services and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Stansoft with respect to the Stansoft sites/services.
